1.Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Raabet LLC LLC, a California limited liability company doing business as Raabet.ai ("Raabet," "we," "us," or "our"), located at 3125 Tiger Run Ct, Suite 107, Carlsbad, CA 92010.

By creating an account, accessing app.raabet.ai, or using any Raabet service, you agree to be bound by these Terms. If you are accessing Raabet on behalf of a business or franchise organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

Eligibility. You must be at least 18 years old and legally permitted to enter into contracts in your jurisdiction to use Raabet. The platform is intended for business use only — it is not a consumer product.

If you do not agree to these Terms, do not use the platform.

2.Account Registration & Security

To access Raabet, you must register for an account and provide accurate, current, and complete information. You are responsible for keeping your account information up to date.

Account security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

Organizational accounts. Raabet is a multi-tenant platform. Each franchise or business unit operates as a separate tenant. Account owners are responsible for managing user access within their organization, including revoking access for departing employees or contractors.

Raabet is not liable for losses arising from unauthorized account access where you have failed to maintain appropriate credential security.

3.Subscription & Payment

Current status — Beta. Raabet is currently in a paid beta program available by invitation only. Beta access costs $500 for a two-month evaluation period, payable in advance and non-refundable. Beta access may be extended, modified, or revoked at any time at Raabet's discretion. Beta features are provided as-is and may change, break, or be removed without notice.

Beta Data Access Notice

By participating in the beta program, you acknowledge and agree that Raabet staff (employees and contractors of Raabet LLC LLC) may access your actual business data — including contacts, call recordings, transcripts, messages, appointments, and operational metrics — for the purposes of debugging, troubleshooting, hands-on onboarding support, and product development.

Your data will never leave our organization. All access is limited to authorized Raabet LLC LLC personnel, is logged, and is used solely for operating and improving the Raabet platform. Your data is never shared with, sold to, or made accessible to any external party, other customers, or third parties beyond the integrations listed in Section 8.

This broader access applies only during the beta period. When you transition to a production subscription, standard data access policies (as described in the Privacy Policy) will apply, and staff access will be limited to support requests you initiate.

Beta feedback. Your feedback, feature requests, and usage patterns during the beta period may be used to shape the product. By participating, you grant Raabet the right to use your feedback as described in Section 9 (Intellectual Property).

Future pricing. When Raabet transitions out of beta, paid subscription plans will be introduced. Billing will be processed through Paddle as our merchant of record. Paddle will handle payment processing, tax collection, and invoicing in compliance with applicable laws. Beta participants will be given at least 30 days' notice before standard subscription pricing takes effect, and beta fees paid will be credited toward the first billing period.

Subscription terms (when applicable). Subscriptions will be billed on a recurring basis (monthly or annually, as selected). You authorize us — through Paddle — to charge your payment method on each renewal date. Subscriptions auto-renew unless cancelled before the renewal date.

Refunds. Because Paddle acts as merchant of record, refund requests are handled in accordance with Paddle's refund policy. We will work with you in good faith to resolve billing disputes.

Usage limits. Certain features (such as AI call processing, SMS messages, and voice receptionist minutes) may be subject to usage limits depending on your plan. Exceeding plan limits may result in throttling, overage charges, or an upgrade requirement, with advance notice.

4.Permitted Use & Prohibited Conduct

You may use Raabet solely for lawful business operations within your franchise or organization. Permitted uses include managing calls, contacts, appointments, tickets, leads, inventory, and communications related to your legitimate business activities.

You agree not to:

Raabet reserves the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on the severity of the violation.

5.AI & Automated Services

Raabet incorporates artificial intelligence and automation throughout the platform, including but not limited to:

Important: AI Accuracy Disclaimer

AI-generated outputs — including transcriptions, summaries, intent classifications, suggested responses, and automated actions — are probabilistic and may contain errors. They do not constitute professional legal, financial, medical, or business advice.

You are responsible for reviewing AI-generated content before acting on it, particularly for consequential decisions such as customer-facing communications, appointment scheduling, and financial actions. Human oversight is strongly recommended for all AI-assisted actions.

Raabet's AI systems power the platform but do not replace the judgment of qualified personnel. Actions taken by Ask Raabet tools (such as creating appointments, sending SMS messages, or updating CRM records) are executed based on your instructions and operate within the trust and permission levels you configure. You remain responsible for all actions taken through the platform, whether initiated by a human or an AI agent.

AI models and their underlying providers (currently Google Gemini and ElevenLabs) may change over time. We will endeavor to maintain equivalent capability, but specific model versions are not guaranteed.

6.Call Recording & Consent

Critical Legal Obligation — Read This Section Carefully

Call recording is subject to complex federal and state wiretapping and eavesdropping laws. You are solely responsible for ensuring your use of Raabet's call recording features complies with all applicable laws. Failure to comply may result in significant civil and criminal liability.

How Raabet records calls. Raabet integrates with RingCentral to process inbound and outbound calls. When call recording is enabled, calls are recorded, transcribed (using faster-whisper or Google Gemini), and analyzed for intent, lead qualification, and operational insights. The Maya AI Receptionist also conducts and records calls on your behalf.

Federal law. The federal Electronic Communications Privacy Act (ECPA) permits recording of telephone calls with the consent of at least one party to the call (one-party consent). Under federal law, a party to the call may record it without notifying the other party.

State law — two-party (all-party) consent states. Many states require all parties to a call to consent before it may be recorded. These include, but are not limited to:

This list is not exhaustive and laws change. You must consult legal counsel to determine your obligations in every state where you conduct business.

Your obligations. By enabling call recording features in Raabet, you represent and warrant that:

Maya AI Receptionist. When Maya answers a call, Maya can be configured to announce at the start of the call that the conversation is being recorded and handled by an AI. You are responsible for enabling and maintaining appropriate disclosures within your Maya configuration. Raabet provides the capability; you are responsible for using it lawfully.

Raabet's role. Raabet is a technology platform and is not a party to the calls it processes on your behalf. We provide the infrastructure and AI processing capabilities. We are not liable for your failure to obtain required consent or to comply with applicable recording laws. You agree to indemnify and hold Raabet harmless for any claims arising from your non-compliance with call recording laws.

Data handling. Call recordings and transcripts are stored in your tenant's data environment. They are used to provide the platform's features (analysis, search, AI training for your franchise) and are not shared with other tenants. See Section 7 (Data Ownership) for details on how your data is handled.

7.Data Ownership & License

Your data belongs to you. All data you input into Raabet, or that Raabet collects on your behalf — including contacts, call recordings, transcripts, appointments, tickets, leads, messages, and inventory records — remains your property ("Customer Data").

License to process. By using Raabet, you grant Raabet LLC LLC a limited, non-exclusive, worldwide license to access, store, process, and transmit your Customer Data solely to provide and improve the Raabet platform and related services. This license does not permit Raabet to sell your data to third parties or use it for purposes unrelated to providing services to you.

Aggregate and anonymized data. Raabet may use anonymized, aggregated, non-identifiable data derived from platform usage — including feature adoption patterns, system performance metrics, error rates, and anonymized property measurement and estimation data (such as roof dimensions, linear footage, and material quantities without customer or address identification) — to improve the platform's AI-powered estimation accuracy and related features across all tenants. This data cannot be used to identify you or your customers.

Data isolation. Raabet is a multi-tenant platform. Each franchise's customer data is logically isolated — your contacts, call recordings, messages, and customer-identifying information are never accessible to other franchises. All database queries are scoped to your organization ID.

Franchisor data visibility. If your franchise operates within a franchisor network using Raabet, your franchisor organization may access aggregated and anonymized business performance metrics — including response times, close rates, revenue trends, scheduling efficiency, labor utilization, and customer satisfaction indicators — for coaching, benchmarking, and operational improvement purposes. Franchisors do not have access to individual customer records, call recordings, message content, or personally identifiable information of your customers. This data sharing is a condition of participation in a franchisor-managed Raabet network. Raabet may also generate anonymized cross-franchise benchmarks (e.g., "your close rate vs. network average") that do not expose the underlying data of any individual franchise.

Data retention. We retain Customer Data for as long as your account is active and for a reasonable period thereafter as described in Section 12 (Termination). We maintain appropriate technical and organizational security measures to protect Customer Data from unauthorized access, loss, or disclosure.

Personal data and privacy. Your use of Raabet involves processing personal data of your customers (names, phone numbers, addresses, appointment history, etc.). You are the data controller for this information. Raabet acts as a data processor on your behalf. You are responsible for ensuring you have a lawful basis for processing this data and for providing appropriate privacy notices to your customers.

8.Third-Party Integrations

Raabet integrates with a number of third-party platforms to deliver its functionality. These integrations include:

Your use of Raabet may involve the transmission of your data to these third-party services. Each third party operates under its own terms of service and privacy policy. Raabet is not responsible for the practices, availability, or performance of any third-party service.

Outages and third-party failures. Raabet's functionality depends in part on third-party services that are outside our control. We are not liable for service disruptions, data losses, or failures caused by RingCentral, ServiceMinder, Twilio, ElevenLabs, Google, or any other third-party provider. We will endeavor to notify you of known third-party outages affecting the platform promptly.

Your own third-party accounts. Some integrations (such as RingCentral and ServiceMinder) require you to have your own account with that provider, subject to that provider's terms. You are responsible for maintaining those accounts and for any costs associated with them.

9.Intellectual Property

Raabet's platform. The Raabet platform — including its software, source code, AI models and prompts, user interface, design, branding, workflows, and documentation — is the exclusive intellectual property of Raabet LLC LLC, protected by copyright, trade secret, and other applicable intellectual property laws. These Terms do not transfer any ownership interest in the platform to you.

License to use. Subject to your compliance with these Terms and payment of applicable fees, Raabet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal business operations during your subscription term.

AI-generated content. Content generated by Raabet's AI systems (such as call summaries, SMS drafts, lead prioritization scores, and appointment recommendations) is provided as a tool to assist your business operations. You may use AI-generated content in your business. However, Raabet does not warrant the accuracy, completeness, or fitness for purpose of AI-generated content. Raabet retains ownership of the underlying AI systems and models that produce such content.

Feedback. If you provide feedback, suggestions, or ideas about the platform, you grant Raabet a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

Raabet trademarks. "Raabet," "Raabet.ai," "Maya," and associated logos are trademarks of Raabet LLC LLC. You may not use these marks without prior written permission.

10.Limitation of Liability & Warranties

Warranty disclaimer. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, RAABET EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE, OR THAT THE PLATFORM WILL BE FREE FROM SECURITY VULNERABILITIES.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RAABET, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Raabet's total aggregate liability to you for any claims arising under or related to these Terms or the platform shall not exceed the greater of (a) the total fees paid by you to Raabet in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above limitations may not apply to you to the extent prohibited by law.

In plain terms: Raabet is a powerful but imperfect tool. We work hard to keep it reliable and accurate, but AI systems make mistakes and third-party services go down. Because we cannot control how you use the platform — or the accuracy of every AI output — we must limit our liability to what is commercially reasonable for a software platform of this type.

11.Indemnification

You agree to defend, indemnify, and hold harmless Raabet LLC LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

12.Termination

Termination by you. You may cancel your Raabet account at any time by contacting us at support@raabet.ai. Cancellation takes effect at the end of the current billing period (when applicable). Fees paid for the current period are not refunded upon voluntary cancellation unless required by law.

Termination by Raabet. We may suspend or terminate your account, with or without notice, if:

Data export after termination. Following account termination — whether initiated by you or by Raabet — your Customer Data will remain accessible for export for a period of 30 days. During this window, you may request a data export by contacting support@raabet.ai. After 30 days, your data will be deleted from active systems. Backups may persist for a limited period thereafter before being purged.

Effect of termination. Upon termination, your license to use the platform immediately ceases. Sections of these Terms that by their nature should survive termination — including data ownership, intellectual property, limitation of liability, indemnification, and governing law — will remain in effect.

13.Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Disputes. Any dispute arising out of or relating to these Terms or the platform shall first be subject to good-faith informal negotiation. You agree to contact us at legal@raabet.ai to describe the dispute before initiating formal proceedings, and we will attempt to resolve the matter within 30 days.

If informal resolution fails, disputes shall be resolved exclusively in the state or federal courts located in San Diego County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue in those courts.

Class action waiver. To the extent permitted by applicable law, you agree to resolve any dispute against Raabet on an individual basis and not as part of any class, collective, or representative action.

Time limitation. Any claim or cause of action arising out of your use of the platform must be brought within one (1) year of the date the claim arose, or it is permanently barred.

14.Changes to These Terms

We may update these Terms from time to time to reflect changes in the law, our business practices, or the platform's features. When we make material changes, we will:

Your continued use of the platform after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the platform and may terminate your account before the effective date.

For non-material changes (such as clarifications, formatting, or corrections that do not affect your rights), we may update these Terms without advance notice.
